Every BDH engagement follows the same structure we use internally to manage your deal file, your buyer log, and your timeline. You'll always know exactly where your deal stands.
Ten stages, one advisor, and a system behind every step.
Confidential and no-obligation. Your goals, your timeline, your numbers at a high level.
Clear terms, in writing, before any work begins.
We recast financials, document add-backs, and establish the value range and go-to-market strategy.
A blind teaser that markets the business without naming it, and a full Confidential Information Memorandum for vetted buyers under NDA.
NDAs, proof of funds, and structured offer deadlines, with competition on your terms. And when buyers meet you, BDH is in the room: we prepare you for management meetings, attend them with you, and advise through every conversation.
If property is part of the deal, it's valued and negotiated as part of the whole, not as an afterthought.
Organized data room, managed requests, no surprises.
Most lower-middle-market deals are financed through some combination of SBA lending, conventional debt, a seller note, and investor equity. We help the buyer reach the optimal structure, encourage SBA pre-approval early, and keep the capital stack on track so financing doesn't stall your closing.
Purchase agreement, ancillary documents, funds flow. We work from generally accepted, standardized transaction documents, including the CABB document library and standard IBBA forms, because proven documents minimize risk and keep the process moving. Legal review belongs to outside counsel: buyer and seller each retain their own attorneys, and BDH does not provide legal services.
Handover planning, earnout tracking if applicable, and a clean exit.
Timelines vary by deal complexity, buyer financing, and market conditions.
